These Official Terms (the "Terms") govern your participation in Project : Memory Dump (the "Project"), created by TESTUBE (The "Artist"). Participation in the Project constitutes your full and unconditional agreement to and acceptance of these Terms. As provided in greater detail in these Terms (and without limiting the express language of these Terms), you acknowledge and agree to the following:

1. You must have rights to your submission. Do not call in with content that you are not the copyright owner of, or are not fully authorized to grant rights in, all of the elements of the submission you intend to submit for the Project. You may not use any third party's content in your submission unless you have the express permission of that third party or the content is in the public domain. Participants under the age of 18 must have permission from a parent or legal guardian to participate.

2. By participating in this Project, you hereby assign away and transfer any and all rights in your submission on a worldwide, perpetual, irrevocable and royalty-free basis, for any and all purposes including, but not limited to, display, public performance, posting for streaming and/or download, making of derivative works, reproduction, distribution, and all other means of exploitation of the submission.

3. Participants agree that the Artist, or Artist's designee, will, from inception, own all right, title and interest in each submission (including, but not limited to, the copyrights in the sound recording) in perpetuity, free from any claims by you or any other person. You will have no ownership rights or interest whatsoever in the applicable submission, and the Artist shall have the right to use your submission in any and all media in and in connection with promotion, publicity, marketing and advertising, in connection with this Project and other promotions that Artist sees fit without any further notification or compensation to or of you.

4. Submissions provided by Project participants are done so anonymously via the designated voice messaging number, and as such the name of each individual participant shall not be published for public viewing as part of the Project.

5. The Artist has no obligation (express or implied) to use any submission in any manner and you will not be entitled to any damages or other relief by reason of Artist's use or non-use of a submission. Artist may omit, modify, edit, and apply sound effects to submissions to ensure acceptable audio quality or for any purpose that the Artist deems necessary or desirable.

6. The Artist may disqualify any submission that is, in Artist's discretion, inappropriate, offensive, or demeaning to Artist's reputation or goodwill, or contrary to the Project mission or theme.

7. By participating in the Project, you agree to indemnify, defend, and hold the Artist harmless from: (a) any and all claims, demands, causes of action and judgments (including attorney's fees, court costs and expert's fees) arising out of or relating to any breach by you of the terms and conditions of these Terms, including any representations and warranties; (b) telephone, electronic, hardware or software program, network, internet, or computer malfunctions, failures, or difficulties of any kind; (c) any condition caused by events beyond Artist's control that may cause the Project to be disrupted or corrupted; (d) any printing or typographical errors in any materials associated with the Project; and (e) any other losses, damages, rights, claims and actions of any kind in connection with or resulting from participation in the Project, including without limitation, personal injury, death, and property damage, and claims based on publicity rights, defamation, or invasion of privacy.

8. The Artist reserves the right, in his sole discretion, to suspend or cancel Project at any time if a computer virus, bug, or other technical problem corrupts the administration, security, or proper conduct of the Project. The Artist may revise these Terms at any time in his sole discretion by posting an updated version. Any Terms changes will be effective upon posting, and your continued participation in the Project after a change to these Terms constitutes your binding acceptance of these Terms. All issues and questions concerning the construction, validity, interpretation, and enforceability of these Terms, or the rights and obligations of participants in connection with the Project, will be governed by, and construed in accordance with the laws of the State of Arkansas, without giving effect to any choice of law or conflict of law rules or provisions (whether of the State of Arkansas or any other jurisdiction), that would cause the application of the laws of any jurisdiction other than the State of Arkansas. The exclusive jurisdiction and venue of any action arising out of or related to this Agreement will be either the state or federal courts in Arkansas, and you agree and submit to the personal and exclusive jurisdiction and venue of these courts.
